Agreement to Terms

By accessing or using the services provided by Beo Agency ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Beo Agency provides digital services including but not limited to:

• Website design and development
• Point of Sale (POS) integration
• Digital marketing services
• Social media advertising
• Search engine marketing
• Website hosting and maintenance

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as requested
• Review and provide feedback on deliverables within agreed timeframes
• Ensure you have the rights to any content you provide (images, text, logos)
• Make payments according to agreed terms
• Comply with all applicable laws and regulations

Project Terms

Quotes and Proposals

All quotes and proposals are valid for 30 days from the date of issue unless otherwise specified. Prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.

Payment Terms

For website projects, we typically require a 50% deposit to commence work, with the balance due upon completion. Monthly services are billed in advance and are due within 7 days of invoice. We reserve the right to suspend services for overdue accounts.

Project Timeline

Estimated timelines are provided in good faith but are dependent on timely feedback and content provision from the client. Delays in client responses may result in extended project timelines.

Revisions

Our packages include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur additional charges, which will be communicated and approved before work proceeds.

Intellectual Property

Client Materials

You retain ownership of all materials you provide to us, including logos, images, and text content. You grant us a licence to use these materials solely for the purpose of providing our services.

Deliverables

Upon full payment, you receive ownership of the final deliverables created specifically for your project. We retain the right to use work samples in our portfolio unless otherwise agreed in writing.

Third-Party Assets

Some projects may include third-party assets (fonts, images, plugins) that are subject to separate licence terms. We will inform you of any ongoing licence requirements.

Hosting and Maintenance

If you subscribe to our hosting and maintenance services:

• We will maintain reasonable uptime (99% target availability)
• Regular backups will be performed
• Security updates will be applied in a timely manner
• Minor content updates are included as specified in your plan

We are not liable for downtime caused by factors outside our control, including but not limited to acts of nature, cyberattacks, or third-party service provider failures.

Cancellation and Refunds

Project Cancellation

If you wish to cancel a project after work has commenced, you will be responsible for payment of work completed to date. Deposits are non-refundable once work has begun.

Monthly Services

Monthly services can be cancelled with 30 days written notice. No refunds are provided for partial months.

Limitation of Liability

To the maximum extent permitted by law, Beo Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Beo Agency, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of services.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to mediation before any legal action is taken. These terms are governed by the laws of Victoria, Australia.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
